Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Jivaseva OÜ, a company registered in Estonia with registration number 12142627, operating under the brand name "Typeza" ("we," "us," "our," or "Typeza"). Jivaseva OÜ is located at Lootuse tn 1-6, Kiili alev, Kiili vald, Harju maakond, 75401, Estonia.

By accessing or using the Typeza platform at typeza.ai, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using Typeza on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use Typeza.

These Terms incorporate our Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Privacy Policy

Your use of Typeza is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Typeza, you consent to the collection and use of your information as described in the Privacy Policy. We encourage you to read the Privacy Policy carefully to understand our data practices.

3. Eligibility

To create an account and use Typeza, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, if higher)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the service under applicable laws

If you are using Typeza on behalf of an organization, you represent and warrant that: (a) you are authorized to bind the organization to these Terms; (b) the organization agrees to be bound by these Terms; and (c) you are at least 18 years old.

4. Dispute Resolution

4.1 Informal Dispute Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@typeza.ai to attempt to resolve the dispute informally. Please include a detailed description of the dispute, your contact information, and the resolution you are seeking. We will attempt to resolve the dispute informally within 30 days of receiving your notice. This informal dispute resolution process is a prerequisite to commencing any formal proceeding.

4.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

4.3 Jurisdiction

Subject to Section 4.4, any disputes arising out of or relating to these Terms or your use of Typeza shall be resolved exclusively in the courts located in Tallinn, Estonia (Harju Maakohus), and you consent to the personal jurisdiction of such courts.

4.4 Consumer Rights (EU/EEA Residents)

If you are a consumer resident in the European Union or European Economic Area, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence. You may bring legal proceedings in the courts of your country of residence.

Alternative Dispute Resolution: The European Commission provides an online dispute resolution (ODR) platform for consumers in the EU at https://ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration board, but we are willing to consider doing so on a case-by-case basis.

5. Your Use of the Service

5.1 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Typeza for your personal, non-commercial use. This license does not include the right to:

• Copy, modify, or distribute any part of Typeza
• Sell, resell, license, or commercially exploit the service
• Access Typeza in order to build a competitive product or service
• Use Typeza beyond the scope of the license granted

5.2 Your Account

To use certain features of Typeza, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the confidentiality of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You may only create one account per person. We reserve the right to terminate duplicate accounts or accounts created through fraudulent means.

Inactive Accounts: If your account does not have an active subscription and has been inactive for an extended period, we may close your account after providing you with notice via email.

5.3 License to Display Your Content

You retain ownership of any content you submit to Typeza, including your interview responses and text submissions ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Process, analyze, and store Your Content to provide the service
• Display your results to you and to users you choose to share with
• Use anonymized and aggregated data for research and service improvement

We will not share Your Content publicly or with third parties except as described in our Privacy Policy or with your explicit consent. We do not claim ownership of Your Content.

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is inappropriate, offensive, or otherwise objectionable.

5.4 Restrictions on Use

You agree not to:

• Provide false, misleading, or inaccurate information
• Use Typeza for any illegal or unauthorized purpose
• Use automated tools, bots, scrapers, or similar technologies to access or collect data from Typeza
• Attempt to reverse-engineer, decompile, disassemble, or otherwise discover the source code, algorithms, or underlying ideas of Typeza
• Circumvent, disable, or interfere with security features of Typeza
• Upload malware, viruses, or other malicious code
• Interfere with or disrupt the service or servers or networks connected to Typeza
• Use Typeza for employment screening, hiring decisions, or any HR-related assessments
• Use Typeza to make decisions about credit, insurance, housing, or other consequential matters
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, threaten, or harm other users
• Use Typeza for commercial purposes without our express written consent
• Resell, sublicense, or make Typeza available to third parties
• Access Typeza if you are a direct competitor, except with our prior written consent

6. Fees and Subscription Plans

6.1 Payment of Fees

Typeza offers both free and paid services. Prices are displayed in Euros (EUR) unless otherwise specified, and may be shown in your local currency for convenience. You agree to pay all fees associated with your selected plan. All payments are processed securely by Stripe, Inc. We do not store your credit card details.

We reserve the right to correct pricing errors. If we discover an error in the price of a service you have purchased, we will contact you to inform you of the error and give you the option to proceed at the correct price or cancel your order for a full refund.

6.2 Subscriptions

Subscription plans provide access to certain features on a recurring basis. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your plan) until you cancel. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

6.3 Timing of Subscription Payments

Subscription payments are charged at the beginning of each billing period. If you upgrade your subscription, you will be charged the prorated difference immediately. If you downgrade, the change will take effect at the start of your next billing period.

We may change subscription prices upon 30 days' notice. The new price will apply to your next billing period after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

6.4 Trial Memberships

We may offer free trial periods for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You are responsible for canceling before the trial period ends if you do not wish to be charged.

6.5 Changes and Cancellation

You may cancel your subscription at any time through:

• Your account settings on Typeza
• Emailing us at hello@typeza.ai
• Using the cancellation link in your subscription confirmation email

To avoid being charged for the next billing period, you must cancel at least one (1) day before your renewal date. Upon cancellation, you will retain access to your subscription features until the end of your current billing period.

6.6 Refunds

Subscription Refunds: For subscription plans, only the most recent payment may be refunded, subject to the following conditions:

• You have not publicly shared or distributed your results from the current billing period
• You agree to lose access to the service immediately upon refund
• The refund request is made within 7 days of the charge

To request a refund, email us at hello@typeza.ai with your account email and the reason for your request. Refunds are processed within 5-10 business days and credited to your original payment method.

7. Data Protection

If you use Typeza in connection with your organization's activities, you are responsible for ensuring compliance with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR).

Our data practices are described in our Privacy Policy. If your use of Typeza requires a Data Processing Agreement (DPA), please contact us at hello@typeza.ai.

8. Modifications to Terms and Service

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms
• Notify you by email (if you have an account) at least 30 days before the changes take effect
• Post a prominent notice on our service

Your continued use of Typeza after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using Typeza and may request deletion of your account.

We may also modify, suspend, or discontinue any aspect of Typeza at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

9. Third-Party Websites and Services

Typeza may contain links to third-party websites, services, or resources that are not owned or controlled by us ("Third-Party Services"). We provide these links for your convenience only and do not endorse, review, or control Third-Party Services.

We are not responsible for:

• The content, privacy policies, or practices of Third-Party Services
• Any damage or loss caused by your use of or reliance on Third-Party Services
• The availability or accuracy of Third-Party Services

Your use of Third-Party Services is at your own risk and subject to the terms and policies of those services. We encourage you to read the terms and privacy policies of any Third-Party Services you visit.

10. Intellectual Property

Typeza and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Jivaseva OÜ, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Typeza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Jivaseva OÜ. You may not use these marks without our prior written permission.

These Terms do not grant you any right, title, or interest in Typeza or any content, features, or materials available through the service, except for the limited license to use Typeza as expressly set forth in Section 5.1.

Any goodwill generated by your use of Typeza's trademarks shall inure to our benefit. You may not register, or attempt to register, any trademark, service mark, trade name, or domain name that is identical or confusingly similar to our marks.

We strive to respond to all inquiries within 2 business days. Before initiating any dispute resolution process as described in Section 4, you must first attempt to resolve the issue through our customer service team.

12. Term and Termination

Term: These Terms are effective from the date you first access or use Typeza and continue until terminated.

Termination by You: You may terminate these Terms at any time by deleting your account through your account settings, or by contacting us at hello@typeza.ai. Deletion of your account will result in the permanent removal of your data as described in our Privacy Policy.

Termination by Us: We may suspend or terminate your access to Typeza at any time, with or without cause, including if:

• You violate these Terms
• You engage in fraudulent, abusive, or illegal activity
• We are required to do so by law
• We discontinue the service

We will provide you with reasonable notice before termination, except where we believe immediate termination is necessary to protect our service, other users, or comply with legal requirements.

Effect of Termination: Upon termination, your license to use Typeza immediately terminates. The following sections survive termination: Sections 4 (Dispute Resolution), 10 (Intellectual Property), 13 (Indemnification), 14 (Limitation of Liability and Disclaimers), and any other provisions that by their nature should survive.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Jivaseva OÜ and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your access to or use of Typeza
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
• Your violation of any applicable law or regulation
• Any content you submit to Typeza
• Any dispute between you and a third party regarding your use of Typeza or your results

14. ASSUMPTION OF RISK, LIMITATION OF LIABILITY, AND DISCLAIMERS

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

14.1 Assumption of Risk

YOUR USE OF TYPEZA IS AT YOUR SOLE RISK. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU ARE USING TYPEZA VOLUNTARILY AND THAT ANY PERSONALITY TYPE RESULTS, INFORMATION, OR CONTENT OBTAINED THROUGH THE SERVICE IS AT YOUR OWN DISCRETION AND RISK.

You hereby release Jivaseva OÜ from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with your use of Typeza or the personality type results you receive.

14.2 Important Disclaimer

Relationship analyses are theory, not advice: every relationship analysis on Typeza describes typical interaction patterns between two self-determined socionics types, strictly according to classical socionics theory. Whether and how two real people get along depends on countless factors beyond personality type. You remain solely responsible for your relationship decisions and their outcomes. Jivaseva OÜ is not responsible for interpersonal conflicts, incompatibility, the success or failure of any relationship, or any decision you make about a relationship based on Typeza content.

If you have concerns about your mental health or well-being, please consult a qualified healthcare professional. Do not disregard professional advice or delay seeking treatment because of something you have read or experienced on Typeza.

14.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

JIVASEVA OÜ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

• Loss of profits, revenue, or business opportunities
• Loss of data or data breach
• Loss of goodwill or reputation
• Emotional distress or psychological impact from results
• Decisions made based on your personality type results
• Relationship or employment consequences
• Procurement of substitute services
• Any other intangible losses

THIS APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MAXIMUM LIABILITY: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF TYPEZA EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (USD $100); OR (B) THE AMOUNTS YOU HAVE PAID TO US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14.4 Disclaimer of Warranties

TYPEZA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

WE DO NOT WARRANT THAT:

• Typeza will meet your requirements or expectations
• Your personality type result will be accurate or consistent
• The AI analysis will be error-free or produce correct results
• The service will be uninterrupted, timely, secure, or available at all times
• Any errors or defects will be corrected
• The service is free of viruses or harmful components
• Results will be consistent across multiple analyses

14.5 Application of Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

15. Social Media Login

Typeza allows you to create an account or log in using third-party services such as Google, Apple, or Facebook ("Social Login Providers"). When you use Social Login:

• You authorize us to access certain information from your Social Login Provider account, as described during the login process (typically your name, email address, and profile picture)
• Your use of Social Login is subject to the terms and privacy policies of the Social Login Provider
• We are not responsible for the practices of Social Login Providers
• If your Social Login Provider account is suspended or terminated, you may lose access to Typeza

You can disconnect your Social Login Provider from Typeza at any time through your account settings. Disconnecting will not delete your Typeza account, but you will need to set a password or use another login method to access your account.

We encourage you to review the privacy policies and terms of service of any Social Login Provider you use:

16. Miscellaneous Terms

Entire Agreement

These Terms, together with the Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Jivaseva OÜ regarding your use of Typeza and supersede all prior agreements, understandings, and communications, whether written or oral.

No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Jivaseva OÜ. You have no authority to bind us in any way.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, pandemics, government actions, labor disputes, infrastructure failures, or internet outages.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms at any time without notice to you. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
